Recent Statutory Trust Judgment: Niemann Rourke, LLC recently obtained a $2.3+ million judgment in behalf of several livestock sellers on their producer trust claims under the federal Packers and Stockyards Act of 1921. Those claims had been opposed by the packer's bankruptcy trustees and secured lender. The judgment award included attorneys fees and interest and was upheld on appeal. Missouri Bar News: The Missouri Bar has announced that John Rourke has been slected to serve as Chairman of its Construction Law Committee for 2011-2012. This committee is responsible for, among other things, drafting and reviewing legilsative proposals, preparing statweide practice materials, and developing programs to improve the quality and efficiency of partice in the area of contsruction law.
Business Owner News: The Missouri Court Appeals has affirmed a lower court ruling denying LLC membership to an individual who claims to have made a capital contribution and provided start-up services to a newly formed LLC but was not identified as a member in any written LLC operating agreement, as contemplated under Section 347.015(11) R.S.Mo. See Birkenmeier v. Keller Biomedical, LLC, 312 S.W.3d 380 (Mo. App. E.D. 2010). We continue to encourage all LLCs to adopt a written operating agreement which identifies all members and membership percentages and clearly establishes member rights and responsibilities.
